Article 1 Purpose
These Typecast API Terms of Use (“API Terms”) governs your access and use of our Typecast application programming interfaces (“APIs”) for generating, processing, or synthesizing voice content, including associated documentation, tools, sample code, software, data, content (including audio or voice content) or other services provided by the Company.
These API Terms for a binding agreement between you or the organization, business, or developers (“you” or “your”) and Neosapience, Inc.’s (“Company”, “we”, “us”, or “our”). If you are accepting these API Terms on behalf of an entity, you represent and warrant to use that you have the authority to do so.
By clicking “Consent” (or taking a similar action), by using or accessing our APIs, registering account, or integrating our APIs into your Applications, you agree to be bound by these API Terms, our Privacy Policy, and any applicable supplemental terms.
We may update these API Terms from time to time, including any referenced policies, terms, or their URLs. If we make material changes to these API Terms, we will provide you with reasonable notice prior to the change taking effect either via email or on our website(https://studio.typecast.ai/developers/api). All other changes will be effective as soon as we post them to our website, and your continued use of our APIs after the changes constitutes your acceptance of such changes. If you do not agree to the updated API Terms, you must stop using our APIs.
Voice Cloning means a feature of the APIs that combines voice data provided by you with the Company’s AI models to create a custom synthetic voice, including any custom voice model generated through that process.
Article 2 Use of APIs
Account Registration: To use our APIs, you may be required to register for an account and provide accurate, current, and complete information during the registration process. After you have successfully registered an account, you will be given the necessary credentials (the necessary security keys, tokens, and other credentials to access our APIs) to access the APIs. You may not share your account credentials or make your account available to anyone else and are responsible for all activities that occur under your account. The Company is not liable for any loss or damage arising from use or misuse of credentials.
License Grant: Subject to your compliance with these API Terms and our technical documentation, we grant you a limited, non-exclusive, royalty-free, non-transferable, non-sublicensable, and revocable and limited license to use and make calls to our APIs, using the provided credentials, solely to develop, test, and operate your software application, website, or other interface (“Application”) for commercial purposes involving generating, processing, or synthesizing voice content, in accordance with these API Terms and our technical documentation.
Content Generation: Our APIs enable you to generate voice content and related functionalities in response to your Input (“User Generated Content”) or create derivative content by modifying such User Generated Content, including altered voices or other secondary works (“User Modified Content”).
Permissible Use: You may use the APIs for lawful commercial purposes, provided you obtain any necessary consent or license for Input and comply with applicable laws.
Free Plan Restrictions and Attribution: Notwithstanding Sections 2 and 4 above, User Generated Content, User Modified Content, or Output generated through the APIs under a free plan may not be used for any commercial purpose, including for the direct or indirect economic benefit of you or any third party. If you publish or distribute any such content externally, you must clearly identify that it was created using Typecast and must not remove or alter any attribution or notice provided by the Company.
Article 3 Use Restrictions
When you access and use the APIs, you may not
Upload, transmit, or generate any content that:
Is illegal, deceptive, obscene, defamatory, threatening, or pornographic (including child pornography).
Constitutes hate speech, harassment, or stalking
Infringes, misappropriates, or violates the intellectual property, privacy, or other rights of third parties.
Promotes or facilitates unlawful activities, including fraud, money laundering, or gambling.
Use the APIs to create, distribute, or promote:
Deepfakes or misleading voice or video content without clear disclosure
Content involving child abuse, exploitation, or sexually explicit material involving minors.
Use the Voice Cloning feature to clone, replicate, or synthesize another person’s voice without that person’s prior, explicit, and verifiable consent, or use the resulting voice to impersonate, deceive, defraud, or defame that person.
Use the Voice Cloning feature to commit or facilitate voice phishing, financial fraud, identity theft, election interference, manipulation of public opinion, or any other unlawful act.
Use the Voice Cloning feature to train on, synthesize, or distribute the voice of a deceased person, minor, or public figure, including a politician or entertainer, without the lawful rights or appropriate consent required for that use, including a legal guardian’s consent where applicable.
Remove, alter, or circumvent any disclosure that a generated voice was synthesized by AI, including any watermark, metadata, or notice, or intentionally conceal AI synthesis so that an ordinary person may mistake the synthesized voice for a real person’s voice.
Facilitate or engage in any illegal activities, including fraud, money laundering, gambling, or the dissemination of harmful or unlawful materials.
Disrupt, interfere with, or attempt to gain unauthorized access to the APIs, or any connected services, servers, devices, or networks, including through viruses, malware, Trojan horses, bots, scrapers, or other destructive tools.
Copy, sell, rent, lease, transfer, assign, sublicense, disassemble, decompile, modify, alter or attempt to reverse engineer or otherwise derive the source code, trade secrets, or know-how of the APIs, except to the limited extent expressly authorized under applicable statutory law.
Use the APIs:
Develop or train competing voice or video generating AI models or services.
Monitor the APIs’ performance or functionality for benchmarking or competitive purposes.
Request more data or permissions than necessary for your Application’s intended functionality, in violation of data minimization principles.
Exceed usage limits specified in your subscription plan or technical documentation, or attempt to circumvent rate limits or other technical restrictions.
Misuse the Company’s trademarks, logos, data, or proprietary elements, or infringe on the Company’s intellectual property rights.
Create multiple accounts for fraudulent or abusive purposes or engage in behavior that violates your subscription plan or these API Terms.
Engage in any actions that compromise the fairness, integrity, or normal operation of the APIs.
Use the APIs that harm national security, public order, safety, or societal interests, undermine political stability, or disrupt social harmony.
Use the APIs in countries or by entities subject to U.S or EU export controls, embargoes, or sanctions.
Article 4 Ownership and Content
Input and Output
You may transmit or otherwise provide any data and information, without limitation, text, audio, or other content, to the APIs (“Input”), and receive voice content, including audio files, synthesized voices, or avatar-based outputs, or derivative works generated by the APIs based on your Input, including User Generated Content and User Modified Content (collectively, “Output”) (Input and Output, collectively, “Your Content”).
You are solely responsible for the accuracy, content, and legality of Your Content with applicable laws, including ensuring you have all necessary rights, consents, or licenses for Input.
Due to the AI’s nature, Output may not be unique, and other users may receive similar outputs from the APIs. Outputs generated for other users are not considered Your Content.
Your Content
Ownership: As between you and the Company, and to the extent permitted by applicable law, you retain all right, title and interest in and to Your Content.
License to the Company: You hereby grant the Company a royalty-free, perpetual, non-exclusive, non-transferable, worldwide, and sublicensable license to use, copy, reproduce, modify, transmit, publish, display, and create derivative works from Your Content solely to provide the APIs, improve their functionality, develop new services and products, comply with applicable law, enforce our terms and policies, and ensure the APIs safe. This license includes the right to reproduce, modify, publish, create derivative works from, distribute, publicly or otherwise perform, and use your voice or other personal indicia in Your Content.
Voice Cloning Data and Model: Rights in the original voice data submitted for Voice Cloning remain with you or the third party who lawfully consented to its use. Without limiting the license above, you authorize the Company on a non-exclusive, royalty-free basis to store, reproduce, modify, and otherwise use that voice data to provide the APIs, train and improve the Company’s AI models, improve quality, and perform safety verification. Any custom voice model generated by combining that voice data with the Company’s AI models, including its parameters, embeddings, and related model outputs, operates within and remains bound to the Company’s infrastructure. You may use the custom voice model only during the term of your subscription or contract and in accordance with these API Terms and Company policies. You may not export the model outside the APIs, provide it to a third party, or reverse engineer it.
Opt-Out and Deletion: You may request deletion of your personal data or opt-out of Your Content (including your voice models) being used to improve the APIs by contacting contact@neosapience.com, as detailed in our Privacy Policy. Upon receiving your request, we will no longer use Your Content for API improvement
Content Review: We may, but are not obligated to, review Your Content. We reserve the right to remove or refuse to process Your Content that violates these API Terms or applicable laws, with or without notice. We may terminate or suspend your access to all or part of the APIs, if Your Content is reasonably likely, in our sole determination, to cause harm or violate these API Terms.
Company Content
Ownership: The Company retains all right, title, and interest, including intellectual property rights, in and to content provided by the Company through the APIs, including but not limited to AI-generated voices, avatar models, audio samples, characters, videos, images, or other materials (“Company Provided Content”).
License to You: Subject to compliance with these API Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use Company Provided Content for the sole purpose of accessing and using the APIs. Any use of the Company Provided Content other than as specifically authorized herein, without our prior written permission, is prohibited and will terminate the license granted herein
Feedback: You may provide any ideas, suggestions, questions, comments, or other information about us or the APIs (collectively, “Feedback”). You understand that we may use such Feedback for any purpose, commercial or otherwise, without restriction or compensation to you. The Company will exclusively own any improvements to, or new inventions based upon, the APIs and Feedback.
Article 5 Personal Data; Privacy and Data Protection
Personal Data: Our processing of personal data, including your voice models, is governed by our Privacy Policy. You agree to comply with GDPR and other data protection laws when providing your personal data to the APIs.
Your Responsibilities: You must obtain all necessary consents or legal bases for processing personal data before submitting it to the APIs. You warrant that any personal data provided complies with GDPR and other application laws.
Data Security: We implement industry-standard technical and organizational measures to protect your data, but you are responsible for securing your applications and API credentials.
Voice Provider Consent and Source Data: When using Voice Cloning, you represent and warrant that all voice data submitted for training is your own voice or that you obtained the voice provider’s lawful, prior, explicit, and verifiable consent after clearly explaining the intended purposes and scope of use, including training, synthesis, and commercial use. If the voice provider is a minor, you must also obtain the legal guardian’s consent. The Company may request evidence of consent, which you must provide within a reasonable period. You are solely responsible for the legality, accuracy, rights clearance, and consequences of submitted voice data and must follow the Company’s reasonable data-quality and content-policy guidelines.
Biometric Voice Data: Voice data may constitute biometric data capable of identifying an individual. The Company may therefore use a separate consent process for the collection, use, storage, and disposal of voice data as required by applicable law.
Use, Disclosure, and Deletion: Subject to these API Terms and any available opt-out rights, voice data submitted for Voice Cloning will not be disclosed outside the APIs except as required by law and will be used only to provide the APIs, train and improve the Company’s AI models, and perform safety verification. You may request deletion of submitted voice data and any custom voice model generated from it through the means the Company provides. The Company is not required to restore data or a model that you voluntarily caused to be deleted.
Article 6 Subscription Term, Fees and Payment
Subscription Term
Fees: To access and use the APIs, you may need to enroll in a subscription payment plan. Subscription fees, taxes, and any applicable charges will be billed according to your chosen service plan, and you are responsible for the fees incurred by your account.
Billing Cycle and Date: Fees are billed in advance for recurring subscriptions based on your service plans (e.g. monthly or annual plans). Your billing date may change due to factors such as your registered payment method processing issues or months with fewer days. Your billing details can be viewed on your Billing page.
Payment Method: You must provide a valid payment method via the Billing page. If the payment is declined, you remain responsible for any unpaid amounts. Access to the APIs may be temporarily restricted due to non-payment or issues such as expired cards or insufficient funds.
Additional Charges: Payment method or location may incur additional fees (e.g. foreign exchange fees or payment processing fees). Please review your payment provider’s terms and conditions for more details.
Pricing Changes: We may change subscription prices from time to time with 30 days’ prior notice via email or website posting. You may cancel your subscription before the next subscription billing period, if you disagree with price changes.
Cancellation and Refund: You may cancel your subscription at any time through the Billing page. The cancellation becomes effective at the end of the current billing period. No refunds are provided for paid fees unless agreed by the Company in writing. Following any cancellation, you will retain access to the APIs until the end of your current subscription period.
Article 7 Confidentiality
You may be given access to certain non-public information, software, and specifications relating to the APIs (“Confidential Information”), which is confidential and proprietary to the Company. You may use Confidential Information only as necessary in exercising your rights granted under these API Terms. You may not disclose any Confidential Information to any third party without the Company’s prior consent. You agree that you will protect any Confidential Information from unauthorized use, access, or disclosure in the same manner as that you would use to protect your own confidential or proprietary information.
Article 8 Termination and Suspension
Termination:
Each party may terminate these API Terms at any time for convenience with 30 days prior written notice.
Either party may terminate these Terms for the other party’s material breach 30 days prior written notice detailing the nature of the breach unless cured within that time.
The Company may terminate these Terms immediately with notice if the Company reasonably believes or determines that the Company’s provision of the APIs to you is prohibited by applicable law.
Upon termination, all licenses granted herein immediately expire and you must cease use of the APIs. You must promptly return or delete any documentation or data accessed or obtained through our APIs, unless expressly permitted by the Company or prohibited by law.
Upon expiration or termination of your subscription or contract, or suspension or termination of your access to the APIs under these API Terms, your right to use any custom voice model and related training data immediately ends. The Company may retain or dispose of that model and data in accordance with applicable law and its internal policies, and the custom voice model may not be restorable if you later subscribe to or use the APIs again.
Your right to use any voice output that was lawfully generated and downloaded before termination remains governed by the other applicable provisions of these API Terms.
Suspension:
The Company may suspend your access to any portion or all of the APIs if the Company reasonably believes or determines that there is a risk or attack on the APIs, you are violating these API Terms, or the Company’s provision of the APIs to you is prohibited by applicable law or would result in a material increase in the cost of providing the APIs.
The Company will use reasonable efforts to provide written notice of any APIs suspension to you, and resume providing access to the APIs, as soon as reasonably possible after the event giving rise to the suspension is cured, where curable. The Company will have no liability for any damages, liabilities, losses, or any other consequences that you may incur because of the suspension.
Article 9 Limitation of Liability
To the fullest extent permitted by applicable law, the Company will not be liable for any direct, indirect, incidental, special, and consequential damage, including damages arising out of or in any way related to the APIs, the materials, the actions, or these API Terms, whether based in contract, tort (including negligence), strict liability or other theory, even if the Company has been advised of the possibility of such damages.
Our aggregate liability of the Company for any claim arising out of or relating to these API Terms or our APIs is limited to the greater of (i) the amount you paid for the API Service that give rise to the claim during the 12 months before the liability arose and (ii) One Hundred Dollars ($100). This limitation does not apply to liability for gross negligence or willful misconduct, where prohibited by law.
Article 10 Indemnification
To the fullest extent permitted by applicable law, you will indemnify, defend, and hold harmless the Company and its officers, directors, employees and agents from and against any losses, liabilities, claims, demands, damages, expense or costs (“Claims”) arising out of or related to your access and use of the APIs, Your Content or Feedback, your violation of these API Terms, your violation, misappropriation, or infringement of any rights of third parties (including intellectual property rights or privacy rights), or your conduct in connection with the APIs or Your Content.
Without limiting the foregoing, if you fail to obtain the rights in source voice data or third-party consent required for Voice Cloning, you will defend, indemnify, and hold the Company harmless from all resulting harm, claims, damages, settlements, litigation costs, attorneys’ fees, and other expenses, and the Company may recover those amounts from you.
Article 11 Governing Law and Dispute Resolution
Governing Law:
For Users residing in non-EEA: These API Terms and any claims, cause of action, or dispute (“Dispute”) arising out of or related to these Terms shall be governed by and interpreted in accordance with the laws of California without giving effect to conflict of law principles. The state and federal courts located in San Francisco, California, will have exclusive jurisdiction. You and the Company waive any claims that may arise under the laws of other jurisdictions.
For Users residing in the EEA, Switzerland, or UK: These API Terms are governed by and interpreted in accordance with the laws of California, except where prohibited by mandatory law of your country of residence in the European Economic Area (EEA), Switzerland, or the United Kingdom (UK). Nothing in these API Terms limits your rights under mandatory local laws, including data protection laws.
Dispute Resolution:
Informal Dispute Resolution: You and the Company agree to work in good faith to resolve the Dispute informally before initiating any arbitration or other formal proceedings. You agree to do so by providing us a written notice to contact@neosapience.com, and the parties shall meet within 30 days of such notice to attempt to resolve the Dispute.
Agreement to Arbitrate: If the parties are unable to resolve the Dispute, you and the Company agree to resolve any Dispute by a neutral arbitrator through final and binding arbitration instead of in a court by a judge or a jury. The arbitration shall be commenced and administered by:
For Users residing in the non-EEA: the Judicial Arbitration and Mediation Services, Inc. (JAMS) under its operative Comprehensive Dispute Resolution Rules and Procedures.
For Users residing in the EEA, Switzerland or UK: the United Nations Commission on International Trade Law (UNCITRAL) Arbitration Rules as at present in force.
Procedure: The arbitration will be conducted by a single neutral arbitrator in English, either by video conference or in person based on written submissions in San Francisco, California or another location mutually agreed.
No Class Action: To the extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in class actions.
Equitable Relief: This Dispute Resolution section does not limit either party from seeking equitable relief.
Article 12 Disclaimer
The Company makes no warranties, express or implied, guarantees or conditions with respect to your use of the APIs. You understand that use of the APIs is at your own risk and that we provide the APIs on an “AS-IS” basis. To the extent permitted under your local law, we exclude any implied warranties, including for merchantability, satisfactory quality, fitness for a particular purpose, workmanlike effort, and non-infringement. You may have certain rights under your local law. Nothing in these API Terms is intended to affect those rights, if they are applicable. We do not guarantee that the APIs will function without interruption or errors in functioning. In particular, the operation of the APIs may be interrupted due to maintenance, updates, or system or network failures.
Article 13 Miscellaneous
For notices regarding general changes to the API, these API Terms, our Privacy Policy, or other policy updates may be given by posting such notice on our website at https://studio.typecast.ai/developers/api.
Electronic Communications: You agree to receive electronic communications from the Company based on your use of the APIs and related to these API Terms. Except where prohibited by applicable law, electronic communications may be sent via email or posted on our website.
Relationship of the Parities; Third Party Beneficiaries: You and the Company are independent contractors, and these API Terms do not create partnership, joint venture, agency, or employment relationship between the parties. There are no third-party beneficiaries to these API Terms.
Assignment and Delegation: Either party may assign its rights or delegate its obligations under these API Terms without the other party’s prior written consent, except that the Company its rights and delegate its obligations to an affiliate or as part of a sale of all or substantially all its business.
Severability: If any provision of these API Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the parties will negotiate in good faith to modify that provision to reflect the parties’ original intent as closely as possible, and the remaining provisions of these API Terms will remain in effect.
No Waiver: Either party’s failure to exercise or enforce any right or provision of these API Terms will not constitute a waiver of such right or provision.
Force Majeure: Neither party will be liable for failure or delay resulting from conditions beyond your or the Company’s reasonable control, including but not limited to governmental action or acts of terrorism, earthquake or other acts of God, labor conditions, or power failure.
Export and Sanctions: You may not export or provide access to the APIs to persons or entities or into countries or for uses where it is prohibited under U.S. or other applicable international law. Without limiting the foregoing sentence, this restriction applies (a) to countries where export from the US or into such country would be prohibited or illegal without first obtaining the appropriate license, and (b) to persons, entities, or countries covered by U.S. sanctions or embargoes. You are solely responsible for ensuring compliance with all applicable export and sanctions laws before accessing or using the APIs.
Entire Agreement: These API Terms and any documents incorporated into these API Terms by reference, constitute the entire agreement between you and the Company regarding the APIs and supersede all prior agreements and understandings, whether written or oral, with respect to the subject matter of these API Terms.
